STB Review: UP-NS Merger Schedule & Rail Industry Impact

Introduction

The Surface Transportation Board (STB) is soliciting public comments regarding the proposed procedural schedule for its review of Union Pacific Railroad’s (UP) planned $85 billion acquisition of Norfolk Southern Railway (NS). Comments are due by October 16.

Schedule Proposal

UP and NS notified the STB on July 30 of their intention to submit their proposed merger application before January 29, 2026. The railroads suggested to the STB that the review of the application be completed within a 390-day timeframe. The railroads’ proposed schedule also included an extended comment period, exceeding the STB’s standard procedural requirements.

Comment Period Extension

Considering the significant interest in the proceedings and the potential complexity of the issues involved, the board has approved an extended written comment period and a corresponding 90-day response period, as proposed by UP and NS, according to the STB’s filing.

Proposed Modifications

The board has also proposed modifications to the railroads’ suggested schedule, specifically concerning preliminary comments from the U.S. Department of Justice and the U.S. Department of Transportation. The board’s proposed schedule also stipulates that any hearing or oral argument on the case will be scheduled at a later date during the proceedings.
